The Role

The purpose of this role is to provide legal guidance in a practical, efficient and commercial manner to Vault. The position of legal counsel will provide legal advice on a variety of matters in our growing business.

Job Tasks and Responsibilities

The duties and tasks are varied and complex needing independent judgement.

  • Drafting, Evaluation, Negotiation and Execution;
  • Non Disclosure Agreements,
  • Sales / Purchasing Agreements,
  • Sub-contracts,
  • Consulting Agreements,
  • Licensing Agreements,
  • Master Agreements,
  • review of customer proposed terms and conditions,
  • Commercial and Public (Federal, State and Local government) contracting.
  • Provide responsive, commercially practical and quality legal advice and guidance to the business in relation to all commercial contracts and related commercial issues.
  • Work with senior management to ensure adherence to broader finance and risk requirements such as revenue recognition, pricing and discounting policies, export controls etc.
  • Advise on the structuring and responses to tender provisions.
  • Monitor competitive terms. Monitor customer satisfaction with our terms and conditions and contracting practices. Recommend changes.
  • Ensure that signed contracts are communicated to all relevant parties to provide contract visibility and awareness, interpretation to support implementation.
  • Liaise and collaborate with external counsel.
  • Identify potential issues via risk assessment and suggest risk mitigation plans.
  • Provide legal advice and guidance to the business in relation to laws and regulatory requirements affecting the business and to manage relationships with applicable industry regulators in Australia.
  • Maintain contractual records and documentation.
  • Develop and implement procedures and policies for contract management and administration in compliance with company policy.
  • Develop and maintain contract templates such as NDS, MHSA, Agency Agreements, Supplier Contracts, etc.
  • Other ad hoc legal work as directed by senior management.

Skills and Experience

These are the qualifications that are necessary for someone to be considered for the position.

Essential:

  • Detailed knowledge of laws, industry standards and codes applicable to payment and technology industries.
  • Experience as an in-house Legal Counsel or Commercial Lawyer providing financial regulatory advice
  • Ability to draft complex commercial contracts, provide technical advice on laws and industry standards including privacy, consumer protection laws, etc.
  • Ability to explain legal and compliance concepts in a commercial context
  • Strong stakeholder management abilities.
  • Ability to multitask and priorities different projects.
  • Ability to think ahead and make decisions based on facts.
  • High level of attention to detail and exceptional organisational skills.
  • A process-driven personality and high-performance standards.
  • Exceptional communication skills both written and verbal.
  • The ability to communicate with and influence all levels of stakeholders.
  • A demonstrated track record of meeting critical task milestones.

Desirable:

  • Highly desirable candidates will have international legal experience across multiple jurisdictions (AU, NZ ect).
  • Adaptable to change and work in a team environment.
  • Ability to manage competing tasks and work consistently through time pressures.

Qualifications include:

  • Bachelor of Law or Justice Studies
  • Admitted as a solicitor (preferably in the Commonwealth jurisdiction)
  • Current practising certificate.
  • Significant experience with advising on technology contracts and IT law related matters.
