Market Job Description

Overview

  • Provision of transaction and regulatory support and legal advice to the Wells Fargo Commercial Distribution Finance platform in Australia and New Zealand, with particular emphasis on the following areas
  • floor plan financing (by way of accounts receivable financing or bailment and associated security including PPSA and priority arrangements),
  • documenting and negotiating distributor agreements with manufacturers and suppliers of financed inventory;
  • assisting the CDF ANZ platform in developing and executing its strategies and objectives; and
  • providing legal advice across a range of issues to the CDF ANZ management. 

Responsibilities

  • Providing local law advice and counsel on cross-border transactional and regulatory issues;
  • Draft, negotiate and review full legal documentation in respect to lending, inventory financing and factoring matters (including accounts receivable financing agreements, bailment agreements, distributor agreements and associated guarantee and security documents);
  • Provide advice on pre-transaction structuring and transaction support;
  • Identifying and mitigating transaction risks and providing creative, problem-solving legal input to new product and new initiative developments;
  • Working independently with business units to help develop and execute their business strategies and objectives, particularly in obtaining requisite approvals from Head Office committees;
  • Advising on regulations in Australia and New Zealand affecting the CDF business, in particular on the ability to market, solicit and conduct business in such jurisdictions, working with Compliance Department as appropriate;
  • Communicating regularly and co-ordinating with Head Office Law Department, in particular adhering to policies and procedures in retaining and managing external counsel relationships and all related legal expenses, particularly on transactions;
  • Consulting with and advising clients and representing Wells Fargo in dealing with others inside and outside the organization, as appropriate;
  • Keeping other Law Department and line of business colleagues updated on Australia and New Zealand legal developments and their impact on Wells Fargo’s businesses in the Australia and New Zealand region.


Market Skills and Certifications

Requirements

  • Based in Melbourne or Sydney, duly qualified lawyer admitted to practice law in Australia or New Zealand, other common-law jurisdictions, possessing circa 3-5 years of experience practicing law with a major law firm or financial services organization
  • Good technical knowledge of corporate finance and relevant laws with respect to secured lending (including PPSR), trade and similar products
  • Ability to manage projects and work independently and under pressure on legal issues
  • Excellent legal drafting, negotiation and organization skills
  • Flexible, proactive, creative and entrepreneurial approach
  • Strong business judgment and commercial attitude
  • Strong interpersonal and communication skills and co-operative, team oriented approach
